1. Acceptance of Terms

By accessing or using the ModelNova website, Fusion Studio application, ModelNova Zoo, or any associated services (collectively, the ‘Services’), you agree to be bound by these Terms of Service. If you do not agree, do not use the Services.

2. Services Description

ModelNova website (modelnova.com) — informational and commercial website.

Fusion Studio — desktop application for Edge AI model development.

ModelNova Zoo — online model library. Model access and licensing governed by individual model licenses.

Engineering services — custom model development and related professional services, governed by individual service agreements.

3. User Accounts

Certain features of the Services may require account registration. You are responsible for maintaining the confidentiality of your credentials and for all activities under your account.

4. Intellectual Property

ModelNova and its licensors own all intellectual property in the Services, including the Fusion Studio software, Zoo models, datasets, blueprints, and website content. You may not reproduce, distribute, or create derivative works without express written permission, except as permitted by applicable open-source licenses where stated.

5. Acceptable Use

Use the Services only for lawful purposes.

Do not attempt to reverse-engineer, decompile, or extract proprietary models or software.

Do not use the Services to develop products or services that compete directly with ModelNova without a commercial agreement.

Do not misrepresent your affiliation with ModelNova in any public context.

6. Model Licensing

Free-tier models are licensed for evaluation and non-commercial use only unless otherwise stated. Commercial deployment of Zoo models requires a commercial licence. Proprietary models are licensed separately under royalty agreements. See individual model licence terms.

7. Disclaimer of Warranties

The services are provided “as is” without warranty of any kind, express or implied. ModelNova does not warrant that the services will be uninterrupted, error-free, or suitable for your specific use case.

8. Limitation of Liability

To the maximum extent permitted by law, ModelNova shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the services.

9. Governing Law

These Terms are governed by the laws of the State of California, United States, without regard to conflict of law principles. Disputes shall be resolved in the courts of California.

10. Changes to Terms

We may update these Terms. Continued use of the Services after posting of updated Terms constitutes acceptance.
